01
Your agreement with Barterloo
These Terms of Service (“Terms”) are a binding agreement between you and KELLY FROM THE DELI LLC, a Florida limited liability company (Florida document number L22000341924), which operates Barterloo. They govern your access to and use of the Barterloo app, barterloo.com, public profiles and marketplace pages, Account Center, and related services (together, the “Service”).
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use Barterloo for an organization, you represent that you have authority to bind it, and “you” includes that organization.
02
Eligibility and account responsibility
You must be at least 18 years old, able to enter into this agreement, and not prohibited from using the Service under applicable law. Barterloo is not offered to anyone under 18.
Provide accurate information, keep it current, protect your credentials, and promptly tell us about suspected unauthorized access. You are responsible for activity under your account unless law provides otherwise. You may not create a misleading identity, transfer an account without permission, evade a suspension, or access another person’s account.
03
What Barterloo provides
Barterloo helps people and small businesses publish Offers and Wants, discover potential trading partners, communicate, and arrange barter. Barterloo provides the platform; unless a listing expressly says otherwise, Barterloo is not the buyer, seller, employer, contractor, broker, agent, insurer, or party to a trade between users.
Users decide whether, when, and on what terms to trade. We do not guarantee a user’s identity, authority, listing, quality, legality, availability, safety, value, performance, or payment. Identity or business verification is a risk-reduction measure, not an endorsement or warranty. Use reasonable judgment, communicate clear terms, inspect goods where appropriate, and follow applicable licensing, tax, consumer, employment, and other laws.
04
Community rules and prohibited conduct
You must follow our Community Guidelines and all applicable laws. You may not use Barterloo to:
- offer, request, promote, or facilitate unlawful, stolen, fraudulent, dangerous, exploitative, or prohibited goods, services, or conduct;
- threaten, harass, discriminate, impersonate, defame, stalk, exploit, or harm another person;
- publish deceptive listings, spam, manipulated engagement, malicious code, or content that infringes privacy, publicity, intellectual property, or other rights;
- scrape, harvest, probe, overload, reverse engineer, bypass security or access controls, interfere with the Service, or use automated systems without our written permission;
- collect or use another person’s information for unrelated marketing, surveillance, or any purpose they did not reasonably expect; or
- help another person violate these Terms or evade a moderation, reporting, blocking, plan, or account restriction.
You can report content or conduct using available in-product controls or by contacting support. We may investigate reports and remove content, restrict features, preserve evidence, or suspend accounts where reasonably necessary to protect the community or Service.
05
Your content and permissions
You keep ownership of content you submit. You represent that you have the rights and permissions needed to submit it and that its use as described here does not violate law or anyone else’s rights.
You grant Barterloo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, adapt for technical or accessibility purposes, publish, display, distribute, and otherwise use your content only as needed to operate, secure, promote, and improve the Service and make it available according to the audience you select. This license ends when the content is deleted from active systems, except for content another user has independently retained, limited protected backups, legal or safety records, and aggregated or de-identified material.
Feedback and suggestions are voluntary. You allow us to use them without restriction or compensation, but we do not acquire ownership of your other content through that feedback permission.
06
Plans, billing, and cancellations
Some features may require a paid plan. Before purchase, Barterloo or the applicable payment or app-store provider will show the price, billing period, included features, and any trial or promotional terms. Unless the checkout states otherwise, a subscription renews automatically for the same period until canceled. Taxes may be added where required.
The provider shown at checkout processes payment. Current or historical web subscriptions may be administered through Stripe, PayPal, or GoHighLevel. Subscriptions purchased through Apple or Google must be managed through that store. Provider terms also apply to its payment service.
You may stop renewal through the available plan-management method. Unless the purchase terms or law require otherwise, cancellation stops future renewal and paid features remain available through the paid period; already-paid charges are non-refundable. Account deletion and subscription cancellation are separate actions. If a store controls your subscription, delete or cancel it in the store as well to prevent charges the store may continue to administer. Nothing here limits refund, cancellation, or consumer rights that cannot lawfully be waived.
07
Trades, disputes, and taxes
You and the other user are responsible for agreeing on the scope, timing, value, delivery, condition, safety, cancellation, and remedies for a trade. Keep sufficient records of your agreement. If a dispute arises, users should first communicate respectfully and try to resolve it. Barterloo may offer reporting tools or investigate rule violations but is not required to mediate, enforce, insure, refund, or complete a trade.
Barter can create tax, reporting, licensing, insurance, warranty, employment, and consumer-law obligations. You are responsible for determining and satisfying obligations that apply to you. Barterloo does not provide legal, tax, financial, medical, or other professional advice.
08
Barterloo intellectual property
The Service, including its software, design, branding, text, graphics, and other content supplied by Barterloo, is owned by or licensed to Barterloo and protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. No other rights are granted. Barterloo names, logos, and trade dress may not be used without written permission.
09
Third-party services
The Service may integrate with or link to authentication, identity, payments, app stores, user websites, or other third-party services. Their terms and privacy notices govern their independent services. We do not control and are not responsible for third-party content, availability, acts, or omissions. A link or integration does not imply endorsement.
10
Suspension, termination, and deletion
You may stop using Barterloo at any time and may request deletion by following our Account Deletion instructions. We may remove content or restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, harmed users or the Service, failed to pay applicable charges, or if required by law.
Where appropriate, we will provide notice and an opportunity to contact support, but urgent safety, security, legal, or fraud concerns may require immediate action. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, limitations, indemnity, disputes, and lawful retention—will survive.
11
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” BARTERLOO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE OR ANY USER, CONTENT, LISTING, TRADE, OR THIRD-PARTY SERVICE WILL BE ACCURATE, SAFE, AVAILABLE, SECURE, UNINTERRUPTED, OR ERROR-FREE. Some jurisdictions do not allow certain disclaimers, so they apply only to the extent lawful.
12
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARTERLOO AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM THE SERVICE, A USER, CONTENT, A TRADE, OR A THIRD-PARTY SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID BARTERLOO FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where liability cannot lawfully be excluded or limited.
13
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Barterloo and its members, officers, employees, contractors, and agents from third-party claims, losses, liabilities, and reasonable costs arising from your content, your trade or interaction with another user, your violation of these Terms or law, or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from Barterloo’s own unlawful conduct.
14
Governing law and disputes
Before filing a claim, please email [email protected] with a concise description and requested resolution so both sides can try in good faith to resolve it informally.
These Terms are governed by Florida law, without regard to conflict-of-law rules. Subject to any mandatory consumer right to bring a claim elsewhere, disputes must be brought in a state or federal court with jurisdiction in Florida, and each party consents to that court’s jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15
Changes and general terms
We may update these Terms to reflect changes in the Service, law, or risk. We will post the revised Terms with a new effective date and provide additional notice when required. Material changes apply prospectively. Continued use after the effective date constitutes acceptance where permitted by law.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, asset transfer, or by operation of law. These Terms, the Privacy Policy, and terms presented for a specific feature form the entire agreement about the Service and supersede prior terms on the same subject.
